- Associate General/Corporate Counsel
Description
We are seeking a highly motivated Junior Business & Real Estate Counsel to join our growing legal and business team. This position will support a broad range of legal matters associated with real estate development, land use, corporate governance, corporate transactions, contracts and general business operations.
While experience in real estate, land use, development or construction law is highly desirable, we will also give strong consideration to candidates with experience in corporate governance, corporate transactions, mergers and acquisitions, commercial contracts, entity management or general business law.
The ideal candidate is a practical, highly organized attorney who enjoys working directly with business executives and senior management and who wants meaningful responsibility across multiple areas of a sophisticated real estate and operating business.
KEY AREAS OF RESPONSIBILITY
Real Estate, Development & Land Use
- Assist with real estate acquisitions, dispositions, development agreements and related transactions.
- Review and assist with easements, covenants, restrictions, title matters and property-related agreements.
- Assist with zoning, entitlements, governmental approvals and land-use matters.
- Coordinate with civil engineers, architects, consultants, governmental agencies and outside counsel.
- Support the legal aspects of development projects from acquisition and entitlement through construction and disposition.
Corporate Governance & Entity Management
- Assist with formation, maintenance and governance of corporations, LLCs, partnerships and other entities.
- Maintain corporate records, resolutions, consents, organizational documents and entity information.
- Assist with preparation of board, member and manager resolutions and other governance documentation.
- Help manage relationships among affiliated companies and project-specific entities.
- Assist with corporate compliance and coordination with outside corporate counsel.
Corporate & Commercial Transactions
- Review, draft and negotiate a variety of corporate and commercial agreements.
- Assist with purchase and sale agreements, letters of intent, joint ventures, partnership agreements and other strategic transactions.
- Assist with financing transactions and related documentation.
- Review NDAs, vendor agreements, professional-services agreements, consulting agreements and other commercial contracts.
- Conduct legal and business research in support of proposed transactions and strategic initiatives.
General Business Legal Support
- Conduct legal research and prepare memoranda and correspondence.
- Identify legal and business risks and communicate them clearly to management.
- Assist with litigation, disputes, claims and regulatory matters as needed.
- Coordinate with outside counsel and help manage legal projects efficiently.
- Maintain organized legal files, contracts and transaction documentation.
- Work directly with senior management on time-sensitive legal and business matters.
IDEAL QUALIFICATIONS
Required
- Juris Doctor (J.D.) from an accredited law school.
- Admission to the State Bar of Nevada, or eligibility and willingness to obtain Nevada admission as appropriate.
- Strong legal research, writing, analytical and organizational skills.
- Excellent attention to detail and ability to manage multiple matters simultaneously.
- Ability to work directly with business executives and communicate legal issues in practical business terms.
- Strong judgment, initiative and willingness to take ownership of assignments.
Preferred — Real Estate / Development
- Experience with real estate transactions, land use, zoning, development, construction or governmental approvals.
- Experience reviewing title, easements, development agreements, purchase and sale agreements or related real estate documents.
Also Highly Valued — Corporate / Transactional
- Experience with corporate governance and entity management.
- Experience with LLCs, partnerships, corporations and affiliated entities.
- Experience drafting or reviewing corporate resolutions, operating agreements and organizational documents.
- Experience with mergers and acquisitions, joint ventures or other corporate transactions.
- Experience with commercial contracts and business transactions.
- Experience with financing transactions or other sophisticated commercial matters.
Candidates with strong corporate, transactional or governance experience but limited real estate experience are encouraged to apply. Likewise, candidates with strong real estate, land use or development experience who have an interest in expanding into corporate and transactional work will be strongly considered.
