Assistant General Counsel / Senior Assistant General Counsel
Work Location: Remote, with periodic travel to Company offices required
Level: Assistant General Counsel or Senior Assistant General Counsel, determined based on the selected candidate’s experience and qualifications

Description:
Works directly for the General Counsel and assists in the provision of all legal services to the Company to ensure maximum protection of its legal rights and to maintain its operations within the limits prescribed by law. Provides hand-on counsel to the organization, assisting the General Counsel. Identifies and analyzes legal issues, presents clear recommendations and direction to the General Counsel and middle management within the organization, and assures legal compliance. Assists the General Counsel in business negotiations and acquisitions. Supports the General Counsel on healthcare regulatory compliance matters, litigation and arbitration strategy, and merger and acquisition transactions, including due diligence and negotiation of purchase agreements.
Responsibilities:
- Researches and advises the General Counsel and middle management on legal rights and new and existing laws.
- Provides expert and strategic legal advice to the organization.
- Crafts and reviews legal strategy in response to any litigation or arbitration proceeding, in coordination with outside counsel.
- Drafts and reviews agreements, such as employment and vendor agreements, to minimize risk and protect the Company’s legal rights.
- Develops and maintains standard contract templates, clause libraries, and negotiation playbooks to promote consistency and reduce turnaround time.
- Advises on healthcare regulatory matters, including the Anti-Kickback Statute, Stark Law, CMS/Medicare enrollment requirements, and state pharmacy and home health licensure.
- Supports merger and acquisition transactions, including due diligence, deal structuring, and negotiation of purchase agreements and ancillary transaction documents.
- Responds to and manages regulatory inquiries, audits, and investigations from state and federal agencies.
- Advises on employment matters, including workplace investigations, disciplinary actions, and enforcement of restrictive covenants (e.g., non-compete and non-solicitation agreements).
- Drafts and maintains internal corporate policies and procedures, including the Code of Conduct and employee handbook, in coordination with HR and Compliance.
- Supports corporate governance matters, including maintenance of entity records, officer/director changes, and board or governance documentation across the Company’s legal entities.
- Interfaces with external parties, including regulators, outside counsel, government officials, and clients.
- Keeps abreast of legislative and regulatory developments.
- Serves and protects the Pharmacy by adhering to professional standards, company policies and procedures, federal, state, and local requirements, and URAC, TJC, ACHC standards of care.
- Assists with maintenance of required corporate filings, documents, reports, and records in accordance with applicable laws and regulations.
- Manages outside counsel engagements, including billing guidelines, budget oversight, and matter staffing.
- Develops and delivers training to business units on legal, regulatory, and compliance requirements.
- Performs other duties as assigned by the General Counsel.
Requirements
- Juris Doctor (J.D.) degree from an ABA-accredited law school required.
- Currently licensed to practice law in the state of employment.
- Minimum of 5–9 years’ experience practicing law, with a focus on healthcare law, required for consideration at the Assistant General Counsel level; 10+ years’ experience, with substantial healthcare law experience, required for consideration at the Senior Assistant General Counsel level.
- Highly proficient in computer skills and excellent working knowledge of Microsoft Office Suite software applications (Word, PowerPoint, Excel, etc.).
- Excellent oral and written communication, interpersonal, and resource management skills.
- Experience with healthcare regulatory matters (e.g., Anti-Kickback Statute, Stark Law, CMS/Medicare enrollment, and state pharmacy/home health licensure) strongly preferred.
- Experience supporting litigation/arbitration matters and M&A due diligence and transactions preferred.
- Ability to interact effectively and courteously with individuals of diverse cultural backgrounds.
- Ability to work independently and meet established or anticipated deadlines.
- Ability to take on a wide range of duties and projects and prioritize appropriately.
- Ability to maintain confidentiality in all work performed.
